ACCEPTABLE USE POLICY

 1.Introduction and Scope

  • This Acceptable Use Policy (“AUP”) defines the standards, rules, and prohibitions applicable to all users, visitors, and customers who access or use the digital tools, software utilities, platforms, websites, and services provided by Celtisq INC (“Celtisq,” “we,” “our,” or “us”) (collectively, the “Services”).
  • By accessing, browsing, registering for, or using any of the Services, you acknowledge that you have read, understood, and agree to comply with this AUP. If you do not agree with this AUP, you must not access or use the Services.
  • This AUP is intended to protect our infrastructure, users, and the public; maintain the security and availability of the Services; and support compliance with applicable United States federal, state, and local laws and regulations.

2. General Principles of Use

  • Lawful Purpose. You may use the Services only for lawful, authorized, and legitimate personal or internal business purposes. You must comply with all laws and regulations applicable to you, your location, your content, and your use of the Services.
  • No Misuse. You may not misuse, exploit, reverse engineer, compromise, damage, or disrupt the normal operation, security, integrity, or availability of our servers, networks, application programming interfaces (APIs), databases, websites, or digital tools, except to the extent that applicable law expressly permits an activity notwithstanding this restriction.

3. Prohibited Activities

You may not, and may not assist, encourage, enable, or permit any third party to, use the Services for any of the following activities:

3.1. Illegal or Fraudulent Conduct
  • Uploading, transmitting, processing, storing, or sharing content, data, or files that violate applicable law or the legal rights of any person.
  • Engaging in fraud, phishing, impersonation, identity theft, deceptive practices, money laundering, or the distribution or use of unauthorized financial instruments.
  • Promoting, facilitating, or instructing others to engage in criminal conduct.
3.2. Intellectual Property and Proprietary Rights Violations
  • Infringing, misappropriating, or otherwise violating any copyright, trademark, patent, trade secret, right of publicity, right of privacy, or other intellectual property or proprietary right of Celtisq or any third party.
  • Uploading, processing, or distributing copyrighted software, media, text, or other protected materials without sufficient authorization or a valid legal basis.
3.3. Malicious Code and Security Abuse
  • Distributing, uploading, or introducing viruses, Trojan horses, worms, logic bombs, spyware, ransomware, or other malicious, destructive, or harmful code.
  • Probing, scanning, testing, or exploiting a vulnerability of any system, server, account, or network without the owner’s prior express authorization.
  • Circumventing, disabling, or interfering with authentication, access controls, security features, rate limits, usage restrictions, or protective measures.
  • Accessing or attempting to access accounts, systems, data, or areas of the Services without authorization.
3.4. Abusive, Exploitative, or Harmful Content
  • Generating, storing, uploading, or distributing content that is unlawful, threatening, harassing, defamatory, unlawfully discriminatory, or intended to incite violence or imminent unlawful conduct.
  • Creating, soliciting, possessing, or distributing child sexual abuse material or content that sexually exploits or endangers minors.
  • Using the Services to stalk, exploit, abuse, or threaten another person or to disclose another person’s sensitive personal information without lawful authorization.
3.5. Network Interference, Scraping, Spam, and Excessive Use
  • Conducting automated scraping, data harvesting, robotic crawling, or bulk extraction from the Services without our prior written permission, except where such restriction is prohibited by applicable law.
  • Launching or facilitating a denial-of-service or distributed denial-of-service attack, flooding the Services with excessive automated requests, or otherwise imposing an unreasonable or disproportionately large load on our infrastructure.
  • Sending unsolicited bulk messages, spam, deceptive commercial communications, or messages that violate applicable anti-spam or telemarketing laws.
  • Using the Services in a manner that materially interferes with another user’s access to or enjoyment of the Services.

4. U.S. Sanctions and Export Controls

  • Compliance. You may not access, use, export, reexport, transfer, or otherwise make available the Services in violation of applicable United States economic sanctions, anti-boycott laws, or export control laws and regulations, including regulations administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC) and the U.S. Department of Commerce’s Bureau of Industry and Security (BIS).
  • Restricted Parties and Locations. You represent that you are not a person or entity with whom transactions are prohibited under applicable U.S. sanctions or export control laws, including a person or entity identified on an applicable U.S. restricted-party list, and that you are not accessing or using the Services from a location where such access or use is prohibited by applicable U.S. law.
  • Prohibited End Uses. You may not use the Services for any end use prohibited or restricted under applicable U.S. export control laws without first obtaining every required governmental authorization.
  • Enforcement. We may immediately restrict, suspend, or terminate access to the Services when we reasonably believe that continued access or use may violate applicable sanctions, export controls, or other trade restrictions. Any refund will be handled in accordance with applicable law and the terms governing the applicable purchase or subscription.

5. Monitoring, Enforcement, and Remedial Actions

5.1. Investigations. We do not undertake to monitor all user inputs, transmissions, or uploaded content. However, to the extent permitted by applicable law, we may investigate suspected violations of this AUP, security threats, fraud, or misuse of the Services.

5.2. Remedial Measures. If we determine that you have violated this AUP, or that your use creates a material risk to the Services, our users, or any third party, we may take appropriate action, including:

  • issuing a warning or notice of violation;
  • restricting, suspending, or terminating your account, subscription, or access to the Services;
  • removing, blocking, disabling, or preserving content, as permitted or required by law;
  • reporting suspected illegal conduct, security incidents, or legal violations to law enforcement, regulators, affected parties, or other appropriate authorities; and
  • pursuing available legal or equitable remedies.

5.3. Cooperation. We may preserve and disclose information when we reasonably believe doing so is required by law, legal process, or a valid governmental request, or is reasonably necessary to protect the rights, property, or safety of Celtisq, our users, or the public, subject to applicable law.

6. Reporting Violations

7. Changes to This AUP

  • We may modify this AUP from time to time. When we do, we will post the revised AUP and update the “Last Updated” date above.
  • Unless a different effective date is stated, changes become effective when posted. Your continued use of the Services after the effective date of a revised AUP constitutes your acceptance of the revised AUP to the extent permitted by applicable law. If you do not agree to a revision, you must stop using the Services.

8. Governing Law

  • Except to the extent otherwise required by applicable law, this AUP is governed by the laws of the State of Colorado and applicable federal law of the United States, without regard to conflict-of-laws principles.
  • Any dispute relating specifically to this AUP will be subject to the dispute resolution and venue provisions, if any, contained in the Terms of Service or other agreement governing your use of the Services. If no such provisions apply, the parties may pursue claims in a court of competent jurisdiction in Colorado, subject to applicable law.
